Captain TomCat Incorporated was established as a corporation in the state of Florida on March 31, 2008. You may view our documentation at the Florida Department of State's website:
sunbiz.org. We obtained a mailing address in Key Largo, Florida, which we anticipate to be our 'home base' when cruising in the Keys and the Bahamas.
In order to raise additional start-up capital, our
Articles of Incorporation state that we will have an initial stock offering of 2,000 shares of stock at $20 per share. These shares will be privately held and initially offered only to select individuals. The principals will hold at least 55% of these shares.
The Break-even Analysis we prepared for our Business Plan shows that we will need to charter an average of 18 days per month. Additional analysis shows that we could expect to offer dividends to our shareholders for any additional charters over the break-even point. A copy of our detailed Business Plan can be provided upon request.
As with any corporation, shareholders will be provided with an annual report, and will be given the opportunity to vote on any major issues that affect the corporation.
As an added benefit of being a shareholder in Captain TomCat Incorporated, we would offer 7-days of charter ("Captain-only") at no cost, for any individual holding at least 100 shares. These free charter days would be offered with as little as two weeks notice, during a period when we are not otherwise booked for a paying charter, and can be taken as a full week or as two separate charters of three and four days each.
